BWG Global Event Compliance Requirements for Industry Participants
Participation in BWG Global Events—including conference calls, virtual forums, roundtables, or other “Events”—is subject to the following compliance requirements. By registering and participating, each industry professional (“Industry Participant”) invited to speak on topics of interest agrees to comply with these requirements:
1. Public Information Only
BWG Global conducts Events exclusively for the discussion of information that is publicly available. Industry Participants may not disseminate or facilitate the exchange of material non-public information (“MNPI”) as defined under applicable securities laws. Accordingly:
- No MNPI: Industry Participants must not communicate MNPI regarding any company discussed (each, a “Subject Company”), any other company, or their respective industries.
- No Confidential Data: Industry Participants must not provide non-public or confidential information relating to bookings, orders, sales, earnings, strategic transactions, management changes, or other material events or forecasts.
- No Unauthorized Disclosure: Industry Participants must not share information they are obligated to keep confidential, have reason to believe is confidential, or are not authorized to disclose under law, agreement, company policy, fiduciary duty, or any reason that would prohibit disclosure of MNPI under federal securities laws.
2. Restrictions on Former Affiliates of Public Companies
Any Industry Participant who is a former employee, contractor, or consultant of a publicly traded company and who has not been separated from such company for at least twelve (12) months prior to the Event must refrain from commenting on that former employer.
3. Confirmation of Non-Confidentiality
Industry Participants confirm that they are not bound by any obligation to maintain the confidentiality of information disclosed during the Event and have not obtained such information from any person under a confidentiality obligation.
Industry Participants represent that their participation does not violate:
- (i) any employer policy or procedure;
- (ii) any applicable domestic or foreign law or regulation; or
- (iii) any employment, consulting, confidentiality agreement, or similar obligation.
4. Remote Access and Recordings
For Events conducted via audio or video conference:
- Access Confidentiality: Participants must not share dial-in or access credentials, invite unauthorized individuals, or record or distribute any portion of the Event.
- If there are other industry professionals in your network who you would like to invite to attend BWG Global’s Events, please contact your Community/Event Manager.
- BWG Global may record or transcribe Events. By participating, Industry Participants agree that BWG Global may use the insights, statements, or other content shared during the Event, including making such content available to Clients on a secure, restricted basis if they could not attend live. For clarity, Industry Participants do not receive any compensation for their participation or for BWG Global’s use of their Event content. BWG Global reserves the right to edit recordings or transcripts to remove MNPI, anonymize the identity of participants including Industry Participants, or for any other reason in BWG Global’s sole discretion.
5. Event Moderation
Each Event is moderated by a BWG Global Principal, who will reiterate key compliance guidelines at the outset, including:
- Discussion is limited to publicly available information.
- No MNPI or confidential information may be shared.
- Participants confirm they have obtained necessary approvals from employer, if necessary, and are not restricted by policy or law.
- Former affiliates within the past 12 months may not comment on their prior employer.
Acknowledgment: By registering for and participating in any BWG Global Event, Industry Participants affirm their understanding of an agreement to these compliance requirements.
